1. Agreement to These Terms

By accessing or using Smart Reply Pro (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and Smart Reply Pro ("we", "us", "our").

You must be at least 13 years old to use this Service. If you are under 18, you represent that you have parental or guardian consent. We do not knowingly collect personal data from children under 13; if we discover such data has been collected we will delete it immediately.

2. What the Service Does

Smart Reply Pro is an AI-assisted writing tool for user-reviewed reply drafts. Here's how it works:

• You input: An incoming message and your reply context
• We generate: AI-suggested reply drafts based on tone, context, and the information you provide.
• You review: All suggestions and decide what — if anything — to send
• We never: Send, post, or share any message on your behalf

Clear responsibility: You are responsible for all messages you send. Smart Reply Pro is a writing assistance tool, not a decision-maker.
You are always the sole author and sender of any message you choose to use. We do not send, post, or transmit any message for you, and you must review all suggestions before sending.

3. Acceptable Use

You must:

• Provide accurate account information and keep it current
• Keep your password secure and not share your account credentials
• Review all AI suggestions before using them anywhere
• Use the Service in compliance with all applicable laws

You must not:

• Use the Service to harass, threaten, defame, or harm any person
• Generate content that is illegal, fraudulent, or violates third-party rights
• Reverse-engineer, decompile, or attempt to extract source code from the Service
• Bypass rate limits, security controls, or access unauthorised systems
• Resell, sublicense, or commercially exploit the Service without our written permission
• Use automated scripts, bots, or scrapers against the Service
• Violate any applicable law, regulation, or third-party platform's terms of service

Violation of these rules may result in immediate account suspension or termination without refund.

4. Subscriptions and Billing

Smart Reply Pro currently offers a free tier with limited usage. A paid Pro subscription may become available in the future with additional features and higher usage limits. Billing is not active yet.

Future auto-renewal: If you subscribe to a recurring paid plan when paid billing becomes available, your subscription will renew automatically at the end of each billing period unless you cancel. The checkout page will clearly show the price, billing interval, included features, renewal terms, cancellation rules, and refund terms before purchase.

Payment processing: When paid billing becomes available, payments will be processed by our authorized Merchant of Record/payment provider. The checkout page will identify the seller/payment provider and show all material billing terms before purchase. We do not store full payment card details. Your use of the payment provider’s checkout may be subject to that provider’s own privacy policy and terms.

5. Cancellation and Refund Policy

Cancellation: You may cancel your Pro subscription at any time through your Account settings or by emailing support@smartreplypro.ai. Cancellation takes effect at the end of your current billing period; you retain Pro access until that date.

7-day first-purchase refund window: If you are a new paid subscriber, you may request a refund within 7 days of your initial subscription payment. Refunds are handled as described in our Refund Policy and returned to the original payment method when approved.

No refunds for: Renewal charges, plan downgrades, unused features during a billing period, or accounts terminated for violating these Terms.

Statutory rights: Nothing in this section limits any statutory cancellation or refund rights you may have under the laws of your jurisdiction (including EU consumer protection regulations).

6. AI-Generated Content is Not Guaranteed

Smart Reply Pro uses third-party AI technology (OpenAI) to generate reply suggestions. You acknowledge that:

• AI is not infallible: Suggestions may be inaccurate, inappropriate, or unsuitable for your situation
• No fact-checking: We do not verify that suggestions are factually correct
• No legal review: Suggestions are not reviewed by lawyers and may not be legally compliant
• No outcome guarantee: We do not guarantee any particular result from using AI-generated suggestions

You are responsible for: reviewing all suggestions before use, editing or discarding unsuitable suggestions, ensuring any message you send complies with applicable laws and respects others, and understanding that you — not Smart Reply Pro — are the author and sender of any message.

7. Chrome Extension

The Chrome extension is currently in Chrome Web Store verification. Extension access will become available after approval and launch. Once available, it will support user-triggered drafting only. It will not auto-send messages, scrape inboxes, or monitor users in the background.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or always available
• AI suggestions will be accurate, appropriate, or suitable for any purpose
• The Service will remain unchanged or continue to exist in its current form
• Any defects or errors will be corrected

Some jurisdictions do not allow the exclusion of implied warranties; in such jurisdictions this disclaimer applies to the maximum extent permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART REPLY PRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability cap: Our total aggregate liability to you for all claims arising from or relating to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim, or (b) EUR 50.

We are not responsible for relationship damage, professional consequences, legal issues, missed opportunities, or any other harm resulting from use or misuse of AI-generated suggestions.

Some jurisdictions do not allow certain liability limitations. In those jurisdictions, our liability is limited to the minimum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Smart Reply Pro and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your access to or use of the Service
• Your violation of these Terms
• Any message you send using or based on AI-generated suggestions
• Your violation of any third-party right, including intellectual property or privacy rights
• Any claim that content you submitted caused damage to a third party

11. Dispute Resolution

Informal resolution first: Before filing any formal legal proceeding, you agree to contact us at support@smartreplypro.ai and give us 30 days to attempt to resolve the dispute informally.

Binding arbitration: If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration rather than in court, except that either party may bring claims in small claims court if they qualify.

No class actions: YOU AND SMART REPLY PRO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION. All disputes must be brought in your individual capacity only.

EU/EEA consumers: If you are a consumer in the EU or EEA, you may submit a complaint to the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Nothing in this section limits mandatory consumer rights under EU law.

12. Intellectual Property and Trademarks

The Service, including all software, design, branding, and content created by us, is protected by intellectual property laws and remains our exclusive property. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal use in accordance with these Terms.

Trademarks:“Smart Reply Pro”, the Smart Reply Pro logo, and any associated marks, names, and trade dress are trademarks or common-law trademarks of Smart Reply Pro. All rights in these marks are reserved. Nothing in these Terms grants you any right to use the Smart Reply Pro name, logo, or trademarks without our prior written permission.

Prohibited trademark use: You must not use any Smart Reply Pro trademark in a way that:

• Implies endorsement, sponsorship, or affiliation with Smart Reply Pro without our consent
• Is likely to cause confusion, mistake, or deception as to the source of any product or service
• Disparages or damages the reputation of Smart Reply Pro
• Incorporates our marks into your own product names, company names, or domain names

You may not copy, modify, distribute, sell, sublicense, or create derivative works from the Service without our express written permission.

Your content: You retain ownership of the messages you input. By submitting content to the Service, you grant us a limited, non-exclusive licence to process that content solely to provide the Service to you. We do not claim ownership of your messages or use them for any purpose beyond operating the Service.

13. Account Termination

By you: You may delete your account at any time from your Account settings. Any active Pro subscription should be cancelled before account deletion; we do not issue refunds for remaining subscription time upon voluntary account deletion.

By us: We may suspend or terminate your account immediately and without prior notice if you:

• Violate these Terms
• Misuse the Service to harm others
• Attempt to bypass security measures or access unauthorised systems
• Engage in fraudulent, illegal, or abusive activity
• Fail to pay subscription fees

Termination for cause does not entitle you to a refund. We reserve the right to discontinue the Service at any time with reasonable advance notice.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before they take effect. For changes required by law or to address security concerns, we may provide shorter notice. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel any active subscription before the changes take effect.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Serbia, without regard to conflict-of-law principles. Subject to Section 11, you agree to submit to the exclusive jurisdiction of the competent courts of the Republic of Serbia for any disputes arising from these Terms or the Service.

If you are a consumer in the European Union, the European Economic Area, the United Kingdom, or any other jurisdiction with mandatory consumer-protection laws, you also benefit from any non-waivable protective provisions of the law of your country of residence, and nothing in these Terms removes those rights.
